Lot Foundry Terms of Service

These Terms of Service (“Terms”) govern your use of the Shopify apps built by Lot Foundry (“we,” “us”): COA Vault, Label Panel, and Gatekeeper (each, “the Service”). By installing or using a Service, you (“Merchant,” “you”) agree to these Terms. The shared core below applies to every Lot Foundry app. Each app then has its own section for what it does and how it is billed.

What is the same across every Lot Foundry app
Your responsibilities. You are solely responsible for your products, your store, and the content and information you enter, including its accuracy, authenticity, currency, and legal sufficiency. You represent and warrant that your use of the Service complies with all laws and regulations applicable to you and your products in every jurisdiction where you sell. Regulations governing products such as supplements, cosmetics, hemp-derived goods, and other age-restricted or regulated items vary by jurisdiction and change over time. Determining what applies to you is your responsibility, and all regulatory and compliance obligations relating to your products and store remain entirely yours. You agree to use the Service only for lawful business purposes and not to interfere with or circumvent its security measures.
Not legal or compliance advice. The Service, including any descriptions, examples, or documentation, does not constitute legal, regulatory, or compliance advice. Consult your own advisors about the requirements that apply to you.
Your data. Our handling of data is described in the Privacy Policy. If you uninstall a Service, the records we hold about your store are deleted in accordance with Shopify’s data removal requirements.
Availability. We aim to keep the Service available and functioning using commercially reasonable efforts, but the Service is provided without any uptime guarantee or service-level commitment.
Disclaimer of warranties. THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Limitation of liability. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE FEES YOU PAID FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA.
Indemnification. You agree to defend, indemnify, and hold harmless Lot Foundry and its owners, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your products and your store; (b) the content or information you enter or display through the Service; (c) your reliance on the Service as a compliance measure; (d) your violation of these Terms; or (e) your violation of any law or the rights of any third party.
Termination. You may stop using a Service at any time by uninstalling it. We may suspend or terminate the Service for breach of these Terms, abuse of the Service, or where required by law, and may discontinue the Service with reasonable notice.
Changes. We may update these Terms from time to time. Material changes will be indicated by updating the date above. Continued use after changes take effect constitutes acceptance.
Governing law. These Terms are governed by the laws of the State of Texas, USA, without regard to conflict-of-law principles. Exclusive venue for any dispute lies in the state or federal courts located in Texas.

COA Vault
What it does. COA Vault is a document display and organization tool. It lets you upload documents such as Certificates of Analysis, associate them with batch or lot numbers, generate QR codes, and display those documents to your customers through your storefront. It displays, organizes, links, and shows the documents you provide, and nothing else.
No verification or certification. We do not review, verify, certify, validate, endorse, or assess the contents, authenticity, or regulatory sufficiency of any document uploaded to the Service. The presence of a document in the Service, or its display to a customer, is not a representation by us about that document or the product it concerns.
Fees. COA Vault is billed through Shopify’s billing system at the price and trial terms presented at installation. Fees are charged by Shopify to your store account. You can cancel at any time by uninstalling the Service; Shopify’s billing rules determine proration and refunds. Uploaded documents are stored using your own store’s Shopify file storage.
Label Panel
What it does. Label Panel is a product-page display tool. It lets you enter product compliance information, such as Supplement Facts and required disclaimers (FDA, Prop 65, and hemp warnings), and display that information to your customers on your storefront product pages. It displays the content you enter, and nothing else.
No verification or certification. We do not review, verify, certify, or assess the accuracy or regulatory sufficiency of the content you enter. What the Service shows is what you typed.
Fees. Label Panel is free to install and use. We may introduce paid features in the future. If we do, any charges will be presented to you through Shopify’s billing system before they apply, and you will be free to decline them.
Gatekeeper
What it does. Gatekeeper displays an age-verification gate on your storefront. You set a minimum age, the wording, the look, and optional per-country rules, and the Service shows visitors a prompt asking them to confirm their age before entering. It displays the prompt you configure and remembers a visitor’s response in their browser.
Self-attestation, not identity verification. The gate is a self-attestation prompt. It does not perform government-ID checks, biometric checks, or any third-party identity verification, and it cannot guarantee a visitor’s actual age. The presence of the gate is not a representation by us that any visitor is of any particular age, and it is not a substitute for any verification a law may require of you. You are responsible for determining whether self-attestation is sufficient in every jurisdiction where you sell.
Fees. Gatekeeper is free to install and use. An optional paid plan unlocks additional features such as per-country age rules, verification analytics, and removing the byline. Any charges are presented to you through Shopify’s billing system before they apply, and you are free to decline them and continue on the free plan.
