COA Vault — Terms of Service

These Terms of Service (“Terms”) govern your use of the COA Vault application (“the Service”), operated by Lot Foundry (“we,” “us”). By installing or using the Service, you (“Merchant,” “you”) agree to these Terms.

1. What the Service does

COA Vault is a document display and organization tool. It lets you upload documents such as Certificates of Analysis (“COAs”), associate them with batch or lot numbers, generate QR codes, and display those documents to your customers through your storefront. The Service displays, organizes, links, and shows documents you provide. It does nothing else with them.

2. Your responsibilities

You are solely responsible for the documents you upload and the information you enter, including their accuracy, authenticity, currency, and legal sufficiency. You represent and warrant that you have the right to display each document you upload and that your use of the Service complies with all laws and regulations applicable to you and your products, including labeling, testing, and disclosure requirements in every jurisdiction where you sell. Regulations governing products such as supplements, cosmetics, and hemp-derived goods vary by jurisdiction and change over time; determining what applies to you is your responsibility. All regulatory and compliance obligations relating to your products remain entirely yours.

You agree to upload only legitimate documents relating to your own products, to use the Service only for lawful business purposes, and not to attempt to interfere with or circumvent the Service’s security measures.

3. No verification or certification

We do not review, verify, certify, validate, endorse, or assess the contents, authenticity, or regulatory sufficiency of any document uploaded to the Service. The presence of a document in the Service, or its display to a customer, is not a representation by us about that document or the product it concerns.

4. Not legal or compliance advice

The Service, including any descriptions, examples, or documentation, does not constitute legal, regulatory, or compliance advice. Consult your own advisors about the requirements that apply to your products.

5. Fees and billing

The Service is billed through Shopify’s billing system at the price and trial terms presented at installation. Fees are charged by Shopify to your store account. You can cancel at any time by uninstalling the Service; Shopify’s billing rules determine proration and refunds.

6. Your data

Our handling of data is described in the Privacy Policy. Uploaded documents are stored using your own store’s Shopify file storage. If you uninstall the Service, records we hold about your store are deleted in accordance with Shopify’s data removal requirements.

7. Availability

We aim to keep the Service available and functioning using commercially reasonable efforts, but the Service is provided without any uptime guarantee or service-level commitment.

8. Disclaimer of warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE FEES YOU PAID FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA.

10. Indemnification

You agree to defend, indemnify, and hold harmless Lot Foundry and its owners, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) documents or information you upload to or display through the Service; (b) your products; (c) your violation of these Terms; or (d) your violation of any law or the rights of any third party.

11. Termination

You may stop using the Service at any time by uninstalling it. We may suspend or terminate the Service for breach of these Terms, abuse of the Service, or where required by law, and may discontinue the Service with reasonable notice.

12. Changes to these Terms

We may update these Terms from time to time. Material changes will be indicated by updating the date above. Continued use of the Service after changes take effect constitutes acceptance.

13. Governing law

These Terms are governed by the laws of the State of Texas, USA, without regard to conflict-of-law principles. Exclusive venue for any dispute lies in the state or federal courts located in Texas.
